Terms and Conditions
1. These Terms and Conditions are applicable to each article you write, as well as all other contributions of content to Pegasus News, Inc. (“Pegasus”) by you, including, without limitation, video, photographs, and audio, and whether assigned by us or contributed voluntarily by you (each, a “Contribution”).
2. You represent and warrant to Pegasus that each Contribution will be original to you, has not been published elsewhere other than a website maintained by you, is not in the public domain and will contain no material that infringes or violates any personal property rights of others or that constitutes defamation, invasion of privacy, an infringement of the intellectual property right of any third person, or is otherwise unlawful. In the event that a Contribution has been published elsewhere, Pegasus shall have the option, but not the obligation, to accept such Contribution in the event that you provide written proof to Pegasus that you have permission for the Contribution to be published by Pegasus. If requested by us, you agree promptly to provide us with pertinent source materials for the purpose of review for accuracy and libel or in the event of any legal action arising from the Contribution’s publication. It is understood that we shall have no obligation to publish a Contribution. If we do publish a Contribution, it will carry your byline.
3. In consideration for any publication of a Contribution and the anticipated publicity resulting therefrom, you grant to us the non-exclusive right to publish the Contribution in all of our forms of media, the right to use your name, likeness, photograph and biographical material in connection with the publication, advertising, publicity or promotion of the Contribution as it relates to Pegasus; and the right to edit the Contribution for any reason. You agree that Pegasus shall have the right to license any Contribution alongside other Pegasus content as part of a syndication arrangement with Pegasus’ content partners.
4. These Terms and Conditions contain the entire and complete understanding of the parties and shall be governed by the laws of the State of Texas, without reference to conflicts of laws and without regard to its location of execution or performance. Any equitable, civil or criminal action arising hereunder shall be heard in the federal or state courts of the State of Texas and each party consents to the personal jurisdiction of such courts.
